Please read these Terms of Sale carefully before purchasing any products from FirstLightRoast.com (the "Site"). By placing an order with First Light Roast, you agree to be bound by these Terms of Sale, as well as our Privacy Policy and Terms of Service.

1. Eligibility and Accounts

By placing an order, you represent that you are at least 18 years of age (or the age of majority in your state of residence) and possess the legal authority to enter into a binding agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Order Acceptance and Pricing

  • Order Acceptance: Your receipt of an order confirmation does not signify our acceptance of your order. We reserve the right at any time after receipt of your order to accept or decline it for any reason, including product availability or pricing errors. If we cancel an order after your payment has been processed, we will issue a full refund to your original payment method.

  • Pricing: All prices are listed in U.S. Dollars (USD) and do not include shipping fees or applicable sales tax, which will be calculated and added at checkout. Prices are subject to change at any time without notice.

3. Billing and Payment

  • Payment Methods: We accept major credit cards and other payment methods as indicated on our checkout page.

  • Billing Information: You agree to provide current, complete, and accurate purchase and account information for all purchases. If your payment method fails or your account is past due, we reserve the right to cancel or suspend your order.

4. Subscription Terms (If Applicable)

If you enroll in a recurring subscription plan for First Light Roast products, you agree to the following:

  • Automatic Renewal: Your subscription will automatically renew at the frequency you selected (e.g., weekly, bi-weekly, monthly) at the then-current price.

  • Recurring Billing: You authorize First Light Roast to charge your saved payment method automatically for each recurring order.

  • Cancellation Policy: You can modify or cancel your subscription at any time through your account portal. To avoid being charged for your next scheduled shipment, you must cancel your subscription at least forty-eight (48) hours before your next scheduled roast/billing date.

5. Shipping and Risk of Loss

  • Shipping Estimates: Shipping and delivery dates are estimates only and cannot be guaranteed.

  • Risk of Loss: All physical items purchased from First Light Roast are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery of the package to the shipping carrier. We are not responsible for packages stolen after delivery or lost by the carrier, though we will assist in resolving carrier issues as outlined in our Return & Replacement Policy.

6. Returns, Replacements, and Refunds

Because coffee is a fresh, perishable food product, we do not accept physical returns. All sales are final. Replacements or adjustments for damaged or incorrect shipments are handled in accordance with our Return & Replacement Policy, which is incorporated into these Terms of Sale.

7. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN WRITING, ALL PRODUCTS SOLD ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FIRST LIGHT ROAST DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIRST LIGHT ROAST, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF PRODUCTS FROM THE SITE.

IN NO EVENT SHALL FIRST LIGHT ROAST’S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO FIRST LIGHT ROAST FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms of Sale and any disputes arising out of or related to your purchases shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

  • Dispute Resolution: Any dispute arising out of or relating to these Terms of Sale shall be resolved through binding, individual arbitration in California (or another mutually agreed-upon location), rather than in court, except that you may assert claims in small claims court if your claims qualify. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms of Sale at any time. Any updates will be posted on this page with an updated "Last Updated" date. The Terms of Sale in effect at the time you place your order will govern that purchase.
